  • Franchisee operations rights will be allotted to applicants within 1 month from the last date of application form submission. Selected Applicants will be informed via website, call or in person regarding the allocation of franchisee operation rights.

    The selection parameter for selection of HarHith franchisee are mentioned below:

  • The store operationalization will be dependent on whether the Franchisee has his own shop or is getting a new shop done.

    In case of his own shop: The interior and store fit-out will take 14 days from the date the empanelled vendor starts his work at the shop of franchisee

    In case the franchisee does not have his own shop but has open space and opts for Prefabricated shop from empanelled vendor of HAICL, the same will take 30 days from the day the franchisee places the order

  • No. Only one person per family is allowed to take and run HAICL franchise at any given time

  • HAICL will provide infrastructure assistance to franchisee partner through its empanelled 3rd party vendors. A franchisee may select the most preferable vendor for the services. The vendors will do recee of the franchisee store and will provide estimate cost to franchisee partner and HAICL. Franchisee partner needs to release the advance payment of given estimated cost to HAICL in the form of demand draft in the name of vendor within stipulated time. After completion of project and confirmation from franchisee partner, HAICL will release the payment DD to its vendor.

  • In case a franchisee partner is not able to open the store for 2-3 days due to some unavoidable circumstances, he/ she needs to intimate HAICL. Also, the franchisee partner needs to intimate the same to public in general by posting the date of opening on the shop. However, HAICL advises the franchisee to make some temporary arrangement for opening and operating the store in the interim period.

  • HAICL may guarantee a monthly average of 10% margin to the franchisee partner as a percentage of the total monthly sales. To make an earning of Rs.15,000/- per month the franchisee partner needs to do a sale of Rs.1,50,000/- in a calendar month. The monthly average 10% margin is on products excluding all dairy products (of brands such as Vita, etc.). The margin on dairy products will be as advised by respective brands and will passed on to franchisee partner as received. The 10% margin is indicative and will be dependent on the sale of product mix where the share of National Brands in the overall sales mix of the Franchisee is to be around 40%. In case the sales mix of National brands is above 40% the overall margin for the Franchisee will be in the range of 8-10%. HAICL may also run promotional schemes and discounts to increase the sales and margins of the franchisee partner.

    Do franchisee partners need to pay for the doorstep delivery of his ordered products at the franchisee store?
    No. HAICL will bear the logistics cost of products delivery at franchisee store only.

  • HAICL aims at marketing and selling wide range of daily need consumer goods with superior quality, value, and transparent pricing as illustrated below:

    1. Food grains, Oils and Spices: Rice, Flour, Spices, Pulses, Edible Oils, Sugar & Salt, Value Added items like Poha, Suji, etc.
    2. Snacks and processed foods: Packaged Foods, Snacks, Chips, Wafers, Noodles & Pasta etc.
    3. Chocolates, Biscuits, Confectionary items etc.
    4. Beverages: Aerated drinks, Juices, Coffee & Tea, etc.
    5. Homecare: Puja Items, Laundry Care, Floor Cleaner, Utensil Cleaner etc.
    6. Personal care: Hair Care, Body Care, Oral Care, OTC/Pharma (ENO, Band aid, Medicated Cream) etc.

    Franchisee partner needs to adhere to all the guidelines set by HAICL for pricing, stocking of products at store. Franchisee partner will only stock products which will be supplied by HAICL. Also, products will be packaged and not loose sold so as to maintain quality and hygiene of the products sold.

  • The pricing of an available product in the franchisee store is determined only by HAICL. The franchisee partner is bound to sell a product on the prices determined by HAICL. The franchisee partner will not sell any item on price more than MRP or any other price which isn’t fixed by HAICL.

  • The investment for first fill will depend on the store size and its location. The investment for first fill for a rural store of upto a 200 sq. ft. store area will be approximately Rs. 2 Lacs. The investment for first fill for a small urban store of 200-800 sq. ft. store area will be approximately between Rs. 2-8 Lacs. For example, If the store size is 400 sq. ft., then franchisee partner will have to invest Rs. 4 lacs for first fill. The investment for first fill for a large urban store (of >800 sq. ft. store area) will be approximately Rs. 18 Lacs.

  • The franchisee partner needs to place an initial order within 1 month of signing the franchise agreement.

  • The minimum re-order value would be depending on store format and its location which are mentioned below:

    However, in initial few months of opening, minimum order value may be revised by HAICL. Any order below Rs.10,000/- can be placed by a rural franchisee on paid basis. Franchisee partner will be charged @5% of total ordered value. But order below Rs.2,500/- will not be processed. The franchisee partner will pay delivery charge as per below formula:

  • No, franchisee partner is not eligible to procure products directly from HAICL’s mother hub or distribution centres. HAICL will be responsible to provide the door-step delivery to franchisee partners through their logistics vendor.

  • The franchisee partners will be solely responsible for engaging and management of manpower for their stores. However, for smooth and efficient operation to enhance the image of brand the training of staff and franchisee partner will be provided by HAICL.

  • The manpower required to run the franchisee store will depend on the store size and other operational determinants such as scope of home delivery within the area, footfall, etc. However, HAICL recommends the following:

  • Rural Outlet: - 08 AM till 07 PM
    Urban Outlet: - 08 AM till 10 PM

  • The franchise partner has to operate the store for at least 10-12 hrs. per day for 7 days including Sundays and public holidays. The closing time of franchisee store will depend on the catchment area and its respective walk-in flow.

  • The franchisee partner has to inform HAICL 3 months in advance in writing along with reason for the disassociation. Before quitting the franchisee partner has to submit all the relevant documents seek by HAICL along with pending payment towards HAICL. Inventory will not be returned to HAICL below specified shelf life/expiry date, varying from product to product.

  • No. A person with an existing operational kirana store will not be eligible for Har-hith Franchisee. However, if existing store is non-operational and the applicant applies for the franchisee, he needs to renovate the existing store as per HAICL standards. In case, if the person after getting franchisee is found guilty of operating both stores HAICL will forfeit the security deposit and may take suitable legal action against the franchisee.

  • HAICL will select their franchisee partner for 5yrs. The extension of agreement will be ensured prior to ending of first term of the 5-year agreement.

  • The franchisee partner is advised to take insurance for the retail outlet including inventory at his/ her own cost.

    • If franchisee partner be adjudicated as insolvent
    • Convicted for any criminal offence
    • If any license is cancelled or revoked or suspended or modified by any concerned authority or is not renewed before the date of expiry by such authority
    • If any information given by the franchisee partner shall be found to be untrue or incorrect
    • If the franchisee partner contaminate/ adulterate or tamper with the quality of any products supplied by HAICL
    • If the franchisee partner himself or through its employees/ servants/ agents commit or suffer to be committed any act which destroy the image of franchisor
    • If franchisee is employed or develops any other income source during agreement period
  • The franchisee partner’s security deposit is liable to be forfeited in case of non-payment of dues such as electricity, water, other Govt. bodies’ levies, surcharges, utility bills, monthly instalment of banks, etc. In third instance of any unpaid dues by the franchisee partner, he will be issued a warning letter and is liable to be terminated.

  • The Franchisee Partner shall not make supplies of the HAICL billed products to any other agent/distributor in the market. However, the Franchisee partner can do institutional sales with prior permission from HAICL.

  • Institutional sales means selling products to business units or institutions. The billing is in the name of an organisation. For example, selling FMCG products to hotels, restaurants, and caterers is institutional sales. Other example is selling FMCG products to hostels, residentials schools and colleges, food processing units, etc.

  • Yes, MD HAICL is solely responsible for extension of agreement of franchisee partner. The extension of agreement will be depending on the factors which are mentioned below:

    • Is franchisee partner doing enough efforts to increase the sale of store?
    • How efficiently franchisee partner is running franchisee store in terms of inventory management, ordering, clearing dues etc.
    • Behaviour of franchisee partner with customer and franchisor
  • There would be no demarcation of sales territory in case a village has 2 stores. Opening two stores in a village will be decided basis on the village population and business potential for both the franchise partners, hence each franchisee will have enough customers to cater to and there would be no loss of sales and margins for either of them.

  • No. The franchise partner is not entitled to use HAR-HITH brand post agreement termination. The franchisee partner must immediately cease operations of the store and should no longer represent himself to the public as HAICL’s franchisee. The franchisee partner must remove from the store and return all indicia of proprietary trademarks. In the event, franchisee partner fails or refuses to comply with such requirements, HAICL has the right to initiate legal action under IPC/Cr.PC etc. if HAR-HITH brand is used by franchisee including selling products under HAR-HITH brand, logo, etc.

  • Yes, the franchisee partner must comply and pay any new tax or cess imposed by the Central and State Govt. from time to time.

  • (a) The franchisee partner must have a shop in high footfall area for continuous business.

    (b) The shop must have complete interior done including storage racks, branding, etc. as per the defined design and layout guidelines of HAICL.

  • The franchisee who have vacant land/ space and are willing to get pre-fabricated shops installed, HAICL will provide 200 sq. feet pre-fabricated shop at an approximate cost of Rs. 4-5 lacs including all taxes. These outlets will be ready to operate and will be installed within 30 days of order placement by the franchisee. The site recce and transportation cost (on actuals) will be paid by franchisee. The Franchisee and the vendor may mutually decide on the transportation cost. The standard life of this outlet may be 7 years, however franchisee has to maintain this outlet properly and has to get repair done for damaged parts at his/her own cost. Once the franchisee and vendor agree on installation of pre-fabricated shop and on the transportation cost, The franchisee will then make Demand Draft (DD) in the favour of the vendor and will submit the same to HAICL. On successful installation of the work, the franchisee will inform HAICL in writing and HAICL will release the DD to the vendor within seven days from the receipt of work completion report by the Franchisee. In case of any ambiguity, MD HAICL or his representative will be final authority of negotiation.

  • The franchisee partner at his/her own cost will continuously maintain the retail outlet and premises, including all fixtures, furnishings, signs and equipment, in the degree of cleanliness, orderliness, sanitation and repair as prescribed by HAICL standards. Any manufacturing defect will be under warranty from the date of completion of work. However, the interiors fixtures, etc. will be under warranty for 1 year except if damaged by franchisee.

  • No. Permission is not required in rural areas for installation of prefabricated shops on the land of the franchisee.

  • In case a prefabricated shop is built on the franchisee’s own land, regular permissions for opening of shop are to be obtained by the franchisee.
    In case of prefabricated shop being opened in a public land (land belonging to Government), the necessary approvals need to be taken.

  • The meter connection for the store needs to be taken by the franchise partner. It can be in his own individual name or a person in family’s name or in the name of the lessor if it is in a leased/ rented premise. All related expenses need to be borne by the franchisee and HAICL is not liable for any such expenses.

  • No. Only a sole proprietor can apply and is eligible for a HAR-HITH franchise.

    3. IT Infrastructure Support: HAICL will help the franchisee partner in the form of setting up IT infrastructure at store and the assistance includes:
      • 1 POS machine including maintenance for 5 years.
      • POS application
      • IT Software
      • CRM software
      • E-commerce portal
      • Franchisee App
      • Retail website
      • IT Support Desk.
    4. Scheme Support: In-order to increase franchisee partner’s sales and margin, various trade schemes, bulk purchase schemes, brand loyalty schemes, volume and value target-based schemes will be launched for the benefit of a partner from time to time. Any monetary support from brands for franchisee partner will be shared directly to the concerned.
    5. Branding & Advertisement Support: HAICL will allow various well-known brands to advertise their products on retail outlet’s sign board and available shelf space. Any monetary benefit received from such brands will be shared with the franchisee partner.
    6. Logistics Support: HAICL will deliver the product through their 3rd party vendor at franchisee store based on the booking made by franchisee partners.
    7. Training & skill development: The franchisee partner will be trained, and evaluated on HAICL retail business rules, regulations, products, SOPs, and key deliverables required to successfully operate the retail outlet on day-to-day basis.
    8. MUDRA loan Support: HAICL will provide a list of empanelled banks and for loan disbursal to the shortlisted applicants. The loan may be extended under Pradhan Mantri MUDRA Yojana (PMMY) by basis the applicant fulfilling the bank’s eligibility criteria.
    9. Store Design & Porta Cabin Support: HAICL will provide infrastructure assistance to give a unique and good-looking appearance to retail outlet. Empanelled vendors of HAICL will do the branding, interiors, fit-out of the shop. HAICL will provide 200 sq. feet prefabricated shop including installation, and GST. These outlets will be ready to operate.
    • HAICL will assist franchisee partner in advertising, marketing and promotions. The programs will be designed to increase sales and further develop the reputation and brand of the stores.
    • HAICL may also create marketing programs and loyalty cards for frequent customers, redemption of gift certificates, coupons, and vouchers, the duration of which will be determined by HAICL and individual store performance.
    • A franchisee partner cannot run scheme/ discount offers for customers on his/ her own. Only HAR-HITH approved schemes and discounts will be allowed to run withing advised time frames.
  • Yes, HAICL will regularly run various loyalty & marketing program to provide the extra benefit to their franchisee partner and customers.

  • HAICL will also develop an application for alternate of POS machine. The order can be placed from this application if in case POS machine is not working. The application is called m-POS which runs on Android mobile devices and uses the same login credentials as in the store POS machine.

  • Franchisee partner can e-mail the issues directly to the harhithretail@gmail.com or telephonically connect to the toll-free helpline number (9517-9517-11) provided on the website. The query will be resolved within 2-3 working days.

  • No, there is as such no cost which would be charge by HAICL from their franchisee partner except the cost of POS machine. The cost of POS Machine is approximately Rs. 30,000/- only which can be paid by franchisee partner in one time basis or Rs. 500 on monthly instalment basis to HAICL. After full payment, the POS machine will be of property of franchisee but still maintenance services will be provided by HAICL. There is no royalty fee and processing fee for taking a franchisee.

  • No, there is no credit basis system for payment. The franchisee has to make online payment for procurement through his/her POS machine. Orders will be delivered against advance payment only.

  • During initial training to franchisee partner and their staff, HAICL will provide the complete training on how to order, when to order, how to check inventory, how to check notification regarding product shortage etc. During initial period, HAICL will also inform their franchisee partner for ordering of products which are less in quantity or high movement products.

  • The franchisee partner will be trained, and evaluated on HAR-HITH retail business rules, regulations, products, retail sales and operations, SOPs, and key deliverables required to successfully operate the retail outlet on day-to-day basis. The training will cover the theory and practical aspects of operating a retail outlet. During the training, the following areas will be covered:

    HAR-HITH will train the franchise partners online. The above-mentioned topics will be covered in 3-4 days during office hours between 11am till 4pm. The training of managing the POS and cash desk will be provided by the IT vendor partner of HAR-HITH to the franchise partners at their respective stores. It will be a practical one-day training (3-4 hours) of the various applications of the POS and their handling. POS Application will have features & functionalities to upload new product launch information, promotions and campaigns, training information so that franchisee can download videos & Information from the central server.

  • Once a product is delivered and unloaded at the store, it will not be returned. The franchise partner must take extreme care in ordering products for his store so that situation of returning doesn’t arises due to any reason. HAR-HITH takes extreme care in curating its product assortment. All the products on assortment list are fast moving, best quality and at market competitive prices hence such instances will be rare.

  • Ordered inventory will be delivered at the retail outlet as per the scheduled delivery beat. The franchisee partner is required to deploy requisite manpower in unloading of his ordered inventory who will help the HAICL logistics partner employee to facilitate the same.
    Regarding return of stock, the HAR-HITH policy on damage stock, shelf-life expiry stock will apply. Eligible products will be passed on or transferred to nearest franchisee and hence should be in transportable conditions. HAICL decision will be final in this matter.

  • For stores where the fit-out is executed by HAICL approved vendor, the different category of products (fixtures, fit-out, etc.) is covered under maintenance for following periods of from date of completion of work:

    • Storage Racks: For 1 year free of cost
    • Wooden Furniture & Fixtures: For 1 year free of cost

    The date of completion shall be considered as date certified by the officer designated by MD HAICL. The officer designated by MD HAICL shall give notice to the Selected Vendor of any defects before the end of the defect’s liability period. The Selected Vendor shall correct the notified defect/defects within the length of time specified by the officer designated by MD HAICL. Any damage by franchisee will not be covered in defect liability period. Such damages will be reinstated by franchisee at his own cost. The vendor will charge for rectification of damages as per quoted rates.

  • The franchise may or may not decide to do business on his terms with customers including providing goods on credit to his customers. HAR-HITH or HAICL have no role and responsibility in any such decisions of credit facility for customers, etc.

  • The franchise needs to contact the support cell in case of any issue with his product order. A toll-free no. is provided on the website for the same. Issues such as delay in order delivery, payment made not reflecting, unable to place an order, frequency of order placement, minimum order value, etc. can be resolved via the HAICL toll-free no. A franchise partner may call during business hours between 9 am till 6 pm to resolve his queries with respect to orders and stock delivery.

  • The ordered stock will be delivered within 24 hours of order receiving by HAICL. However, during initial months after launch of store operations the stock delivery may be within 48-72 hours till the time operational efficiencies are achieved.

  • The license required for opening of Har-Hith franchisee are mentioned below:

    1. Trade License within a year (only urban area) (Kindly visit https://ulbharyana.gov.in/WebCMS/Start/10568 for further details)
    2. Shop & Establishment License at the earliest after allotment (only in urban area)
    3. GST Registration (if franchisee partner will be able to do business of over Rs. 40 Lacs in a year)
    4. FSSAI registration
  • HAICL will provide assistance with process to seek required licenses for Har-Hith franchisee store. The franchisee has to apply and seek permissions at his/her own level.

  • If loan requirement has been mentioned in application, Eligible applications on the grounds of site location will be forwarded to concerned bank. If bank agrees with eligibility for mudra loan, the franchisee will be allotted.

    Thereafter HAICL will provide the document of selection of Har-Hith franchisee store along with empanelled bank list to franchisee partner. The franchisee will apply for MUDRA loan. After submission of documents the banks will re-verify the documents and disburse the loan amount to franchisee partner account. The franchisee partner has to operate the same account for trading with HAICL and banks. In case, if franchisee partner fails to submit the monthly instalment timely then HAICL will be eligible to forfeit the security deposit and termination of franchisee agreement.

  • The illustrative documents required to get a loan from bank are mentioned below:

    • PAN Card

    • ITR Filling (last 3 yrs.)

    • CIBIL score

    A franchisee applicant will be required to share his details to check his creditworthiness. The same will be done by HAICL based on CIBIL scores, previous loan/ credit repayment history, etc. Once a franchisee applicant CIBIL score is found to be positive for loan disbursal, the franchise rights will be allotted. Secondly, a MIS of such applicants will be forwarded to State Level Banker’s Committee (SLBC) for processing of the loan.

  • In case of completion or early termination of 5-year franchise agreement period, no product will be returned to HAICL. But in case of exceptional cases if approved by MD HAICL, no products having less than 40 percent of shelf life will be accepted by HAICL. HAICL will charge 5 percent of the value of the product for pick-up of the products from franchisee. Any damaged inventory will not be returned to HAICL or its DC/Warehouse. The franchisee partner has to sell out or consumed left over inventory on its own.

    1. Transfer of Franchise Rights on Request of an Existing Franchisee Partner: In rural franchisee, in case of employment or any other reason which makes the existing franchisee not eligible during the course of agreement except age, the franchisee will apply to transfer the right of operations to his/her eligible family member. Any request to transfer the right of operations by a franchisee partner has to reach HAICL office in writing three months prior to the intended date of disassociation. MD HAICL is the final decision-making authority in such matters.
    2. Transfer of franchise rights on death of a Franchisee Partner: After the death of franchisee partner and not withstanding any agreement to the contrary, the deceased’s legal heir must propose to HAICL in writing to transfer the interest of the deceased to him. The legal heir should meet and fulfil all the eligibility criteria as set by HAICL in this Franchisee Policy Document within one month, failing which the rights of franchisee partner may be terminated by HAICL. Any such transfer must occur within one month from such individual’s death, and is subject to HAICL prior written consent, in accordance with this section. Basis the rules, regulations, and policies outlined in this document, HAICL shall automatically terminate the franchise agreement if the transfer has not occurred within one month, unless HAICL grants an extension in writing. In case the deceased’s legal heir is unable to fulfil the eligibility and selection criteria, fresh applications will be called for the said retail outlet location.
  • All disputes between HAICL and the Franchisee Partner, arising out of the Franchisee agreement on the subject matter thereof shall be referred to the arbitration of the Managing Director, HAICL Panchkula or any person nominated by him and the decision of such arbitrator shall be final and binding on both the parties.

  • Yes. An agreement granting rights to operate the store and use the HAR-HITH brand will be executed on a Rs. 100/- legal stamp paper between the two parties. The cost to be borne by the franchisee partner.

  • Yes. HAICL employees, affiliates and authorized third-party associates have the right to enter the store without notice during business hours to determine compliance with HAICL standards. During the course of any such inspection, HAICL may select products, supplies, equipment and other items from the retail outlet to evaluate whether they comply with HAICL standards. HAICL may require the franchisee partner to immediately remove non-compliance items at his own cost at his store.

  • The franchise partner is not allowed to sell any product which is not billed by HAICL. The franchise partner is also not allowed to purchase and sell any product from open market. No outside product can be stored and marketed at store unless and until approved by the competent authority at HAICL in writing.
    The franchise partner is bound to bill the products on real time basis and no pendency in invoicing should be there.
    In both the cases, following actions may be initiated: (a) In first instance a penalty of Rs.1,000/- will be charged from him.
    (b) In second instance a penalty of Rs.2,000/- will be charged from him.
    (c) In third instance, he will be issued a warning letter and is liable to be terminated.

  • The complaint of a consumer will be resolved by franchisee partner and/ or his staff at the store. If the complaint is not resolved or not resolved to the satisfaction of the consumer at the store, he can lodge another complaint to “Customer Support Cell”. The query will be resolved within 2-3 days. The customer can give feedback on brand availability, alternate brand of specific category, new product to be added in the store, product pricing, quality returning of damaged or expired product etc. directly to HAICL.

    AND WHEREAS on the application of the Franchisee Partner, the HAICL has agreed to appoint the applicant as its Franchisee Partner for franchisee network of retail outlets at the _______ (details of the property) premises hereinafter referred as “the premises” on the terms and conditions hereinafter contained.

    4.2The Franchisee Partner shall not make supplies of the said products of the HAICL to any other agent/distributor in the market. 

    4.3Over and above this Franchisee Agreement terms and conditions mentioned in HAICL Franchisee Policy 2021 will be applicable and binding on both the parties.

    4.4 The workers, employees, staff or agents engaged or employed by or on behalf of the Franchisee Partner shall neither be nor deemed to be the worker, employee, staff or agents of the HAICL under any circumstances whatsoever it may be.

    4.5 Notwithstanding anything in this Agreement, in no event shall the HAICL be liable under the laws of contract, torts, misrepresentation, warranty, negligence, strict liability or otherwise, for any special, indirect, incidental or consequential damages (including loss of profit arising out of in connection with this Agreement).

    1. Force Majeure clause: Neither party shall be in default if a failure to perform any obligation hereunder is caused solely be supervening conditions beyond that party’s reasonable control, including acts of God, civil commotion, strikes, acts of terrorism etc.A condition of force majeure shall not relieve any Party of any obligation due under the Franchisee agreement prior to the event of force majeure.
    2. AMENDMENT/MODIFICATION: HAICL reserves the right to amend, change, modify, add or delete any term and condition in this document on basis of the business conditions and environment prevalent without prior notice to the other party. 
    3. DECLARATION BY FRANCHISEE PARTNER: The Franchisee Partner confirms that he has read and understood the eligibility criteria for a HAICL Franchisee Partner and terms & conditions annexed with the application form for his appointment as a Franchisee Partner of HAICL. He fully understands the implications of eligibility criteria and the terms & conditions as annexed and therefore binds himself into a contract with HAICL as per the Indian Contract Act, 1872 and other laws as applicable for the time being in law.
    1. Other Terms & Conditions:
    • Franchisee Partner needs to place an initial order with HAICL within 1 month of signing the franchise agreement.
    • Franchisee Partner needs to take the ownership & responsibility of damage, theft & pilferage of product inventory once it is delivered from HAICL to retail outlet. HAICL will not be responsible for any such instances once the inventory is delivered via proper means and defined processes.
    • Franchisee Partner will install and use only those equipments, furnishings, fixtures, and signages that HAICL approves, replace them as may be required, and source them from approved suppliers, of which HAICL may be one.
    • Franchisee Partner will install and use HAICL approved IT systems and whose information is continuously accessible to HAICL through direct or remote means.
    • The Franchisee Partner is not authorised to market, advertise, merchandise, and/ or sell products not sourced from HAICL until and unless directed by HAICL.
    • The Franchisee Partner will only sell a product on the prices determined by HAICL. Any such instance of non-conformance on matter pertaining to pricing may lead to termination of the agreement and may not require warning.
    • The Franchisee Partner agrees that HAICL and its authorized employees, affiliates and third-party associates have the right to inspect the retail outlet without any prior notice to evaluate whether the franchisee partner complies with HAICL standards.
    • The Franchisee Partner is solely responsible for all employment decisions regarding his / her employees (if any), including hiring, promoting, discharging, setting wages and terms of employment. And in no case the employees of the Franchisee Partner or the Franchisee Partner himself/ herself can claim to be the employee/s of the HAICL.
    • The Franchisee Partner will not hire any employee below 18 years of age for any kind of part-time or full-time employment. The Franchisee Partner must follow the Central Government and State Government child labour laws.
    • The Franchisee Partner may escalate to HAICL any customer complaints relating to the product quality, marketing & branding program at its retail outlet with relevant documents stating the complaint from customer, product quality issue, etc.
    • Franchisee Partner is required to provide any discount, cashback and promotional offer as approved by HAICL. Franchisee Partner can’t offer any discount, cashback, or promotion material to customer other than what is approved by HAICL.
    • The Franchisee Partner will assist HAICL third-party logistics service provider during unloading of stock at their store.
    • HAICL reserves the right to refuse any order or orders placed by the Franchisee Partner at any given time due to any unavoidable circumstances or situation and HAICL shall not be responsible for any loss or damage cause to the Franchisee Partner by such refusal/cancellation.
    • In case of completion or termination of 5 years period, no products having less than 40 percent of shelf life will be accepted by HAICL.
    • Any inventory item which will expire within 30 days after the given date of disassociation will not be transferred to HAICL or its Distribution Centre/ Warehouse.
    • Any product with expired shelf-life will not be returned to HAICL or its distribution centre/ warehouse under any circumstances.
    • In case a franchisee partner is not able to take a scheduled stock delivery and the delivery happens the next day, the franchisee partner will be charged for re-attempted stock delivery @5% (or any other value defined by HAICL) of total ordered value.
    • Any order below Rs.10,000/- can be placed by a rural franchisee on paid basis. Franchisee partner will be charged @5% of total ordered value. But order below Rs.2,500/- will not be processed. The franchisee partner will pay delivery charge as per below formula:

    • Franchisee Partner cannot enter any Arrangement/ Contract / Agreement/ Understanding of any kind whereby the operation of the Franchisee Partner hereunder is or may be controlled, carried out and / or financed by any other persons, firm or company whether directly or indirectly and whether in whole or partly, without the written consent of HAICL (which consent HAICL may in its sole and absolute discretion withhold).
    • Franchisee Partner should personally supervise the operation of the outlet and should not allow the outlet to be operated as ‘Benami’ or caused same to be operated through Power of Attorney or otherwise by any outside third party.
    • The Franchisee Partner shall obtain every licence(s) necessary for the sale of products at the said premises required under any central/State Government, Municipal or Local enactment for the time being in force and conditions for such licence (s) and shall promptly renew the same from time to time. The licenses or registrations may include GST, Trade License, Shops & Establishments Certificate, FSSAI, etc. Any other licenses or registrations required from time to time have to be complied with as directed by concerned authorities.
    • After the completion of defect liability period (1 year), the franchisee partner is responsible for the cost associated with maintenance, repairs and replacement, alteration and additions to the outlet conforming to HAICL standards.
    • HAICL may guarantee a monthly average of 10% margin to the franchisee partner as a percentage of the total monthly sales. To make an earning of Rs.15,000/- per month the franchisee partner needs to do a sale of Rs.1,50,000/- in a calendar month. The monthly average 10% margin is on products excluding all dairy products (of brands such as Vita, etc.). The margin on dairy products will be as advised by respective brands and will passed on to franchisee partner as received. The 10% margin is indicative and will be dependent on the sale of product mix where the share of National Brands in the overall sales mix of the Franchisee is to be around 40%. In case the sales mix of National brands is above 40%

    the overall margin for the Franchisee will be in the range of 8-10%. HAICL may also run promotional schemes and discounts to increase the sales and margins of the franchisee partner.

    • HAICL has exclusive rights to transfer the right of operations to a franchisee partner. HAICL may withdraw right of operations from a franchisee partner if the franchisee partner is unable to properly operate, maintain, upgrade and promote the retail outlet and premises and meet all financial and other obligations to HAICL and to third parties.
    • After the death of franchisee partner and not withstanding any agreement to the contrary, the deceased’s legal heir must propose to HAICL in writing to transfer the interest of the deceased to him. The legal heir should meet and fulfil all the eligibility criteria as set by HAICL within one month, failing which the rights of franchisee partner may be terminated by HAICL. Any request to transfer the right of operations by a franchisee partner has to reach HAICL office in writing three months prior to the intended date of disassociation. MD HAICL is the final decision-making final authority in matters pertaining to transfer of right of operations.
    • The franchisee partner is advised to insure the retail outlet including inventory at his own cost. Both the franchisee partner and HAICL waive any and all rights of recovery against each other and its respective officers, employees, agents, and representatives for damage to the waiving party or for loss of its property or the property of others under its control, to the extent that the loss or damage is covered by insurance.
    • The grant of any credit by the Franchisee Partner to customer shall be at the Franchisee Partner’s risk and shall not in any way affect the Franchisee Partner’s liability to the HAICL.
    • The franchisee partner’s security deposit is liable to be forfeited in certain cases like non-submission of GST, other liabilities, etc. The franchisee partner’s security deposit is liable to be forfeited in case of non-payment of dues such as electricity, water, other Govt. bodies’ levies, surcharges, utility bills, etc.

    In third instance of any unpaid dues by the franchisee partner will be issued a warning letter and is liable to be terminated.

    • The Franchisee Partner shall during the continuance of this agreement confine himself to selling only HAICL’s products at the premises and shall not carry on from the said premises any business other than that of the sale of the products save and except and only to the extent, if any to which the Franchisee Partner may be permitted in writing by the HAICL at its sole discretion to carry on such other business at or from the premises.
    • HAICL reserves the right without reference to or consent of the Franchisee Partner to appoint one or more additional Franchisee Partner in the same town/area or location and such additional Franchisee Partner shall be entitled to make sales of the products without any objection from the Franchisee Partner and the Franchisee Partner shall not be entitled to make any claim for remuneration, commission or allowance whatsoever in respect of the sales made by such additional Franchisee Partner and or sales made by the HAICL through such additional Franchisee Partner. The Franchisee Partner hereby expressly further agree not to dispute, object to or challenge the appointment of another Franchisee Partner at the same place or at any other place by the HAICL.
    • The Franchisee Partner shall be responsible for all loss contamination, damage of shortage of or to the products after supply or delivery whether partial or entire and no claim will be entertained by the HAICL therefore under any circumstances.
    • The quantities of the products stated in the HAICL’s invoices to be delivered by the HAICL as measured by the HAICL’s measuring devices or means shall be final and binding upon the parties hereto unless at the time of receipt of the products at the Franchisee Partner’s premises any shortage is detected and recorded and also duly witness as per procedures laid down by the HAICL from time to time. The property in the products shall pass from the HAICL to the Franchisee Partner upon delivery of the products to the Franchisee Partner or his representative and the HAICL shall not in anyway be held responsible for any loss or shortage thereafter, unless otherwise specifically stated therein a receipt signed by or on behalf of the Franchisee Partner at the time of delivery by the HAICL of the products will be conclusive evidence that the products mentioned therein were infact delivered to the Franchisee Partner, that such products were in accordance with the HAICL’s specification for the time being therefore and that the quantities of such products mentioned in the invoice/ receipt are correct, and the Franchisee Partner shall thereafter be precluded from making any claim against the HAICL for compensation or otherwise on the ground of short delivery or contamination of such products.
    1. DISPUTE RESOLUTION BETWEEN HAICL AND THE FRANCHISEE PARTNER

    9.1.Arbitration:All disputes between HAICL and the Franchisee Partner, arising out of the Franchisee agreement on the subject matter thereof (except as to matters, the decision where of has been specifically provided herein before) shall be referred to the arbitration of the Managing Director, HAICL Panchkula or any person nominated by him and the decision of such arbitrator shall be final and binding on both the parties.

    9.2.Jurisdiction: All disputes arising out of or in any way connected with the Franchisee agreement shall be referred to district courts of Panchkula, Haryana.

    1. TERMINATION: If Franchisee Partner is regularly and repetitively found to be non-compliant on any of the terms of agreement of HAICL or fails to timely cure any default that may be cured, or for any other reason, HAICL may terminate the Franchisee Partner’s agreement by issuing a written notice to the Franchisee Partner and the termination will be effective from the date mentioned in such written notice. HAICL shall be at liberty to terminate this agreement forthwith upon or at any time if the Franchisee Partner:
    2. i) Be adjudicated as insolvent
    3. ii) Convicted of any criminal offence

    iii) If any license required as per this agreement is cancelled or revoked or suspended or modified by any concerned authority or is not renewed before the date of expiry by such authority

    1. iv) If any information given by the Franchisee Partner in his application for appointment as a Franchisee Partner or any document supplied therewith or filed in support thereof is found to be forged or fabricated
    2. v) If the Franchisee Partner concealed any information which if disclosed would in the opinion of HAICL would have disentitled him to be appointed as a Franchisee Partner according to its decision.
    3. vi) If the Franchisee Partner contaminate / adulterate or tamper with the quality of any of the products supplied by HAICL.

    vii) If the Franchisee Partner himself or through its employees/seriously agents commit or suffer to be committed any act which in the opinion of Competent Authority of HAICL, whose decision in that behalf shall be final, is prejudicial to the interest or good name of HAICL or its products, the Competent Authority shall not be bound to give reason for such decision.

    10.1. The Franchisee Partner must pay all dues owed including any fees and interest within ten days.

    10.2. The Franchisee Partner must immediately cease all use of HAICL’s proprietary trademarks, trade secrets, confidential information, and manuals, and cease to participate directly or indirectly in the use or benefits of HAICL’s system.

    10.3. The Franchisee Partner will not be entitled to any compensation or claim any loss or damage from the Corporation in respect of goodwill or otherwise.

    10.4. The termination of this agreement shall be without prejudice to the rights of either party against the other in respect of any matter or thing antecedent to such termination.

    • Franchisee Partner needs to take the ownership & responsibility of damage, theft & pilferage of product inventory once it is delivered from HAICL to retail outlet. HAICL will not be responsible for any such instances once the inventory is delivered via proper means and defined processes.
    • Franchisee Partner will install and use only those equipments, furnishings, fixtures, and signages that HAICL approves, replace them as may be required, and source them from approved suppliers, of which HAICL may be one.
    • Franchisee Partner will install and use HAICL approved IT systems and whose information is continuously accessible to HAICL through direct or remote means.
    • The Franchisee Partner is not authorised to market, advertise, merchandise, and/ or sell products not sourced from HAICL until and unless directed by HAICL.
    • The Franchisee Partner will only sell a product on the prices determined by HAICL. Any such instance of non-conformance on matter pertaining to pricing may lead to termination of the agreement and may not require warning.
    • The Franchisee Partner agrees that HAICL and its authorized employees, affiliates and third-party associates have the right to inspect the retail outlet without any prior notice to evaluate whether the franchisee partner complies with HAICL standards.
    • The Franchisee Partner is solely responsible for all employment decisions regarding his / her employees (if any), including hiring, promoting, discharging, setting wages and terms of employment. And in no case the employees of the Franchisee Partner or the Franchisee Partner himself/ herself can claim to be the employee/s of the HAICL.
    • The Franchisee Partner will not hire any employee below 18 years of age for any kind of part-time or full-time employment. The Franchisee Partner must follow the Central Government and State Government child labour laws.
    • The Franchisee Partner may escalate to HAICL any customer complaints relating to the product quality, marketing & branding program at its retail outlet with relevant documents stating the complaint from customer, product quality issue, etc.
    • Franchisee Partner is required to provide any discount, cashback and promotional offer as approved by HAICL. Franchisee Partner can’t offer any discount, cashback, or promotion material to customer other than what is approved by HAICL.
    • The Franchisee Partner will assist HAICL third-party logistics service provider during unloading of stock at their store.
    • HAICL reserves the right to refuse any order or orders placed by the Franchisee Partner at any given time due to any unavoidable circumstances or situation and HAICL shall not be responsible for any loss or damage cause to the Franchisee Partner by such refusal/cancellation.
    • In case of completion or termination of 5 years period, no products having less than 40 percent of shelf life will be accepted by HAICL.
    • Any inventory item which will expire within 30 days after the given date of disassociation will not be transferred to HAICL or its Distribution Centre/ Warehouse.
    • Any product with expired shelf-life will not be returned to HAICL or its distribution centre/ warehouse under any circumstances.
    • In case a franchisee partner is not able to take a scheduled stock delivery and the delivery happens the next day, the franchisee partner will be charged for re-attempted stock delivery @5% (or any other value defined by HAICL) of total ordered value.
    • Any order below Rs.10,000/- can be placed by a rural franchisee on paid basis. Franchisee partner will be charged @5% of total ordered value. But order below Rs.2,500/- will not be processed. The franchisee partner will pay delivery charge as per below formula:

    • Franchisee Partner cannot enter any Arrangement/ Contract / Agreement/ Understanding of any kind whereby the operation of the Franchisee Partner hereunder is or may be controlled, carried out and / or financed by any other persons, firm or company whether directly or indirectly and whether in whole or partly, without the written consent of HAICL (which consent HAICL may in its sole and absolute discretion withhold).
    • Franchisee Partner should personally supervise the operation of the outlet and should not allow the outlet to be operated as ‘Benami’ or caused same to be operated through Power of Attorney or otherwise by any outside third party.
    • The Franchisee Partner shall obtain every licence(s) necessary for the sale of products at the said premises required under any central/State Government, Municipal or Local enactment for the time being in force and conditions for such licence (s) and shall promptly renew the same from time to time. The licenses or registrations may include GST, Trade License, Shops & Establishments Certificate, FSSAI, etc. Any other licenses or registrations required from time to time have to be complied with as directed by concerned authorities.
    • After the completion of defect liability period (1 year), the franchisee partner is responsible for the cost associated with maintenance, repairs and replacement, alteration and additions to the outlet conforming to HAICL standards.
    • HAICL may guarantee a monthly average of 10% margin to the franchisee partner as a percentage of the total monthly sales. To make an earning of Rs.15,000/- per month the franchisee partner needs to do a sale of Rs.1,50,000/- in a calendar month. The monthly average 10% margin is on products excluding all dairy products (of brands such as Vita, etc.). The margin on dairy products will be as advised by respective brands and will passed on to franchisee partner as received. The 10% margin is indicative and will be dependent on the sale of product mix where the share of National Brands in the overall sales mix of the Franchisee is to be around 40%. In case the sales mix of National brands is above 40%

    the overall margin for the Franchisee will be in the range of 8-10%. HAICL may also run promotional schemes and discounts to increase the sales and margins of the franchisee partner.

    • HAICL has exclusive rights to transfer the right of operations to a franchisee partner. HAICL may withdraw right of operations from a franchisee partner if the franchisee partner is unable to properly operate, maintain, upgrade and promote the retail outlet and premises and meet all financial and other obligations to HAICL and to third parties.
    • After the death of franchisee partner and not withstanding any agreement to the contrary, the deceased’s legal heir must propose to HAICL in writing to transfer the interest of the deceased to him. The legal heir should meet and fulfil all the eligibility criteria as set by HAICL within one month, failing which the rights of franchisee partner may be terminated by HAICL. Any such transfer must occur within one month from such individual’s death, and is subject to HAICL prior written consent, in accordance with this section. Basis the rules, regulations, and policies of HAICL, HAICL shall automatically terminate the franchise agreement if the transfer has not occurred within one month, unless HAICL grants an extension in writing. In case the deceased’s legal heir is unable to fulfil the eligibility and selection criteria, fresh applications will be called for the said retail outlet location.
    • In rural franchisee, in case of employment or any other reason which makes the existing franchisee not eligible during the course of agreement except age, the franchisee will apply to transfer the right of operations to his/her eligible family member. Any request to transfer the right of operations by a franchisee partner has to reach HAICL office in writing three months prior to the intended date of disassociation. MD HAICL is the final decision-making final authority in matters pertaining to transfer of right of operations.
    • The franchisee partner is advised to insure the retail outlet including inventory at his own cost. Both the franchisee partner and HAICL waive any and all rights of recovery against each other and its respective officers, employees, agents, and representatives for damage to the waiving party or for loss of its property or the property of others under its control, to the extent that the loss or damage is covered by insurance.
    • The grant of any credit by the Franchisee Partner to customer shall be at the Franchisee Partner’s risk and shall not in any way affect the Franchisee Partner’s liability to the HAICL.
    • The franchisee partner’s security deposit is liable to be forfeited in certain cases like non-submission of GST, other liabilities, etc. The franchisee partner’s security deposit is liable to be forfeited in case of non-payment of dues such as electricity, water, other Govt. bodies’ levies, surcharges, utility bills, etc.

    In third instance of any unpaid dues by the franchisee partner will be issued a warning letter and is liable to be terminated.

    • The Franchisee Partner shall during the continuance of this agreement confine himself to selling only HAICL’s products at the premises and shall not carry on from the said premises any business other than that of the sale of the products save and except and only to the extent, if any to which the Franchisee Partner may be permitted in writing by the HAICL at its sole discretion to carry on such other business at or from the premises.
    • HAICL reserves the right without reference to or consent of the Franchisee Partner to appoint one or more additional Franchisee Partner in the same town/area or location and such additional Franchisee Partner shall be entitled to make sales of the products without any objection from the Franchisee Partner and the Franchisee Partner shall not be entitled to make any claim for remuneration, commission or allowance whatsoever in respect of the sales made by such additional Franchisee Partner and or sales made by the HAICL through such additional Franchisee Partner. The Franchisee Partner hereby expressly further agree not to dispute, object to or challenge the appointment of another Franchisee Partner at the same place or at any other place by the HAICL.
    • The Franchisee Partner shall be responsible for all loss contamination, damage of shortage of or to the products after supply or delivery whether partial or entire and no claim will be entertained by the HAICL therefore under any circumstances.
    • The quantities of the products stated in the HAICL’s invoices to be delivered by the HAICL as measured by the HAICL’s measuring devices or means shall be final and binding upon the parties hereto unless at the time of receipt of the products at the Franchisee Partner’s premises any shortage is detected and recorded and also duly witness as per procedures laid down by the HAICL from time to time. The property in the products shall pass from the HAICL to the Franchisee Partner upon delivery of the products to the Franchisee Partner or his representative and the HAICL shall not in anyway be held responsible for any loss or shortage thereafter, unless otherwise specifically stated therein a receipt signed by or on behalf of the Franchisee Partner at the time of delivery by the HAICL of the products will be conclusive evidence that the products mentioned therein were infact delivered to the Franchisee Partner, that such products were in accordance with the HAICL’s specification for the time being therefore and that the quantities of such products mentioned in the invoice/ receipt are correct, and the Franchisee Partner shall thereafter be precluded from making any claim against the HAICL for compensation or otherwise on the ground of short delivery or contamination of such products.
    1. DISPUTE RESOLUTION BETWEEN HAICL AND THE FRANCHISEE PARTNER

    9.1.Arbitration:All disputes between HAICL and the Franchisee Partner, arising out of the Franchisee agreement on the subject matter thereof (except as to matters, the decision where of has been specifically provided herein before) shall be referred to the arbitration of the Managing Director, HAICL Panchkula or any person nominated by him and the decision of such arbitrator shall be final and binding on both the parties.

    9.2.Jurisdiction: All disputes arising out of or in any way connected with the Franchisee agreement shall be referred to district courts of Panchkula, Haryana.

    1. TERMINATION: If Franchisee Partner is regularly and repetitively found to be non-compliant on any of the terms of agreement of HAICL or fails to timely cure any default that may be cured, or for any other reason, HAICL may terminate the Franchisee Partner’s agreement by issuing a written notice to the Franchisee Partner and the termination will be effective from the date mentioned in such written notice. HAICL shall be at liberty to terminate this agreement forthwith upon or at any time if the Franchisee Partner:
    2. i) Be adjudicated as insolvent
    3. ii) Convicted of any criminal offence

    iii) If any license required as per this agreement is cancelled or revoked or suspended or modified by any concerned authority or is not renewed before the date of expiry by such authority

    1. iv) If any information given by the Franchisee Partner in his application for appointment as a Franchisee Partner or any document supplied therewith or filed in support thereof is found to be forged or fabricated
    2. v) If the Franchisee Partner concealed any information which if disclosed would in the opinion of HAICL would have disentitled him to be appointed as a Franchisee Partner according to its decision.
    3. vi) If the Franchisee Partner contaminate / adulterate or tamper with the quality of any of the products supplied by HAICL.

    vii) If the Franchisee Partner himself or through its employees/seriously agents commit or suffer to be committed any act which in the opinion of Competent Authority of HAICL, whose decision in that behalf shall be final, is prejudicial to the interest or good name of HAICL or its products, the Competent Authority shall not be bound to give reason for such decision.

    10.1. The Franchisee Partner must pay all dues owed including any fees and interest within ten days.

    10.2. The Franchisee Partner must immediately cease all use of HAICL’s proprietary trademarks, trade secrets, confidential information, and manuals, and cease to participate directly or indirectly in the use or benefits of HAICL’s system.

    10.3. The Franchisee Partner will not be entitled to any compensation or claim any loss or damage from the Corporation in respect of goodwill or otherwise.

    10.4. The termination of this agreement shall be without prejudice to the rights of either party against the other in respect of any matter or thing antecedent to such termination.
